Terms and Conditions

Please read these Terms and Conditions carefully before engaging our services or using our website at acumenagc.com. By instructing Acumen Accountants & Tax Advisers to act on your behalf, or by using our website, you confirm that you accept these Terms and Conditions and agree to be bound by them.


01. Our Services

Acumen Accountants & Tax Advisers  is a professional accounting and tax advisory practice based in London. We provide a comprehensive range of financial and professional services including:

The specific services to be provided will be set out in a separate Letter of Engagement. These Terms apply to all services we provide unless otherwise agreed in writing.


02. Engagement and Instructions

Our professional relationship commences upon the signing of a Letter of Engagement or, where no such letter has been signed, upon our commencement of work at your request.

You agree to provide us with all information, documentation, and assistance reasonably required for us to perform our services accurately and on time. You are responsible for ensuring that all information you provide is accurate, complete, and up to date. We shall not be liable for any errors, penalties, or losses arising from inaccurate or incomplete information provided by you.

You must inform us promptly of any changes in your circumstances, business structure, or financial position that may affect the services we are providing.


03. Fees and Payment

Fee Structure Our fees are agreed in advance and set out in the Letter of Engagement or our fee proposal. We reserve the right to charge additional fees where the scope of work exceeds that originally agreed. We will inform you in advance of any additional charges where reasonably practicable.

Payment Terms Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing. We may require payment in advance for certain services. Late payment may result in suspension of our services and may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Online Payments We use GoCardless, a regulated payment service provider, for the secure collection of fees. By authorising payment through our online portal, you agree to the applicable GoCardless terms and conditions. We are not responsible for the operation of GoCardless’s payment infrastructure.


04. Confidentiality

We maintain strict confidentiality in relation to all client information and will not disclose your information to third parties without your prior written consent, except where required by law, a regulatory authority, or our professional obligations.

We may be required to disclose information under anti-money laundering legislation, by court order, or upon request from HMRC or other regulatory bodies. In such circumstances, we may be prohibited by law from informing you that a disclosure has been made.


05. Data Protection and Privacy

We are committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We collect, use, and store your personal data only as necessary to provide our services and comply with our legal obligations.

Full details of how we process your data and your rights as a data subject are set out in our [Privacy Policy]. By engaging our services, you consent to the processing of your personal data as described therein.

We may share your data with third parties (including HMRC and Companies House) only where necessary for the provision of our services or where required by law.


06. Professional Standards and Regulatory Compliance

Acumen Accountants & Tax Advisers operates in accordance with the professional standards set by our membership bodies, including the Chartered Institute for Securities & Investment (CISI) and the Chartered Public Accountants Association (CPAA). We maintain professional indemnity insurance appropriate to our practice.

Under the Proceeds of Crime Act 2002 and the Money Laundering Regulations 2017, we are required to verify the identity of clients and report any suspicious activity. You agree to provide identity verification documents as we may reasonably require.

Where we provide Tax Investigation, Audit & Dispute Resolution or Forensic & Litigation Services, additional engagement terms may apply and will be set out in your Letter of Engagement.


07. Making Tax Digital (MTD) Compliance

Where we provide Making Tax Digital services on your behalf, you agree to grant us the necessary authorisation to access your HMRC digital tax account and submit information on your behalf. You remain responsible for ensuring the accuracy of all underlying records and for meeting your statutory filing deadlines. We will notify you of any changes to MTD requirements that affect your obligations as they arise.


08. Payroll, Pension & CIS Obligations

Where we manage your payroll, auto-enrolment pension, or Construction Industry Scheme compliance, you acknowledge that statutory deadlines apply and that timely provision of accurate information by you is essential. We shall not be liable for penalties, surcharges, or interest imposed by HMRC or The Pensions Regulator where these arise from late or inaccurate information provided by you.


09. Intellectual Property

All intellectual property rights in materials, templates, and documents created by us in the course of providing services remain vested in us unless expressly transferred to you in writing. You are granted a non-exclusive licence to use such materials solely for the purposes for which they were created.

The content on our website, including blog posts, guides, and articles, is protected by copyright. You may not reproduce or use our content for commercial purposes without our prior written consent.


10. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

Subject to the above, our total aggregate liability to you shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

We shall not be liable for any indirect or consequential loss, including loss of profits or business opportunity, even if we have been advised of the possibility of such loss. We shall not be liable for any loss arising from your failure to provide accurate information or to act on our advice in a timely manner.


11. Complaints Procedure

If you are dissatisfied with any aspect of our service, please raise your concerns in writing:

We will acknowledge your complaint within 5 business days and aim to provide a full response within 28 days. If you remain dissatisfied, you may have the right to refer your complaint to our relevant professional body.


12. Termination

Either party may terminate the engagement by giving reasonable written notice. We reserve the right to terminate immediately where you fail to pay our fees, provide misleading information, or where continuation would breach our professional obligations.

Upon termination, you shall pay all outstanding fees for work carried out to the date of termination. We will assist with transitioning your affairs to a new adviser upon receipt of all outstanding fees.


13. Use of Our Website

Our website is provided for general information purposes only. The content does not constitute professional advice and should not be relied upon as such. We make no guarantees that the content is accurate, complete, or up to date at all times.

You must not misuse our website by introducing malicious software or attempting unauthorised access. Such actions may constitute a criminal offence under the Computer Misuse Act 1990.

These Terms and any disputes arising from them shall be governed by the laws of England and Wales. Both parties submit to the jurisdiction of the courts of England and Wales. Consumers resident in Scotland or Northern Ireland may also bring proceedings in the courts of those jurisdictions.
